Foreign investment plays an important role in India's business growth, helping companies raise capital, expand operations and explore international opportunities. However, when an Indian company receives investment from overseas, it must comply with the reporting requirements prescribed under the Foreign Exchange Management Act, 1999 (FEMA), and applicable Reserve Bank of India (RBI) regulations.
To simplify foreign investment reporting, the RBI introduced the Foreign Investment Reporting and Management System (FIRMS). This online platform allows companies and other eligible reporting entities to submit prescribed foreign investment forms through a centralised system. Although the process is digital, businesses sometimes face difficulties relating to documentation, remittance details, reporting forms or observations raised during verification.
To help applicants resolve such issues, the RBI's Foreign Exchange Department has published a directory containing the contact details of Authorised Dealer (AD) Banks for seeking clarification on SMF-FIRMS. The directory provides the names of banks, IFSC codes, designated contact persons, email addresses and telephone numbers. The RBI has specifically advised users to contact their respective AD Banks for clarification before approaching the central bank.
What Is the FIRMS Portal?
The Foreign Investment Reporting and Management System (FIRMS) is an online platform used for prescribed foreign investment reporting in India. Through the Single Master Form (SMF), eligible reporting entities can submit various forms relating to foreign investment transactions, including FC-GPR, FC-TRS, LLP(I), LLP(II) and other applicable reports.
For example, when an Indian company issues equity shares to an overseas investor, it may be required to submit Form FC-GPR. Similarly, certain transfers of shares between residents and non-residents may require reporting through Form FC-TRS.
While FIRMS makes submission more convenient, businesses must still ensure that the correct forms, accurate transaction details and supporting documents are provided within the applicable deadlines.
Why Are AD Banks Important for SMF-FIRMS Reporting?
Authorised Dealer Banks are banks authorised under FEMA to undertake permitted foreign exchange transactions and perform specified regulatory responsibilities. In foreign investment reporting, the concerned AD Bank may review relevant documents, verify transaction information and seek clarification when required. Businesses may need to contact their AD Bank when a filing is returned with observations, when remittance details do not match supporting records or when additional documentation is requested. Having the correct contact details helps companies communicate directly with the appropriate banking representative instead of sending queries to unrelated departments.
